Model Rules and by-laws

In the newsletter it makes mention of "Everybody should have a copy now of the Model Rules and by-laws to read at your leisure and we will at the AGM take a vote on the acceptance of these."
I didn't recieve a copy of these

Notice of Annual General Meeting
Model Rules

Preamble per President Peter.
The Shepparton and District Amateur Radio Club (SADARC) was Incorporated in 1985 with a set of Rules supplied to Consumer Affairs. These Rules remained in place until 2012 when Consumer Affairs rewrote the Associations Act and developed a new document.
The Club in 2012 did nothing about retaining our old rules so by default established by Consumer Affairs we automatically became bound to the new Rules.
In November 2023 Consumer Affairs again rewrote the rules governing Associations. Again, by default unless we notified Consumer Affairs otherwise, we immediately upon their release were bound by these Rules.
The Model Rules referred to in this document replace what we as Members of SADARC previously referred to as “The Constitution”.
Process
The SADARC Committee with the help of other members reviewed these 2023 Rules and have amended them slightly to suit out Clubs circumstances and operation. Amendments are highlighted in Yellow on the attached document.
Assuming these Model Rules are accepted by the Club we then need to forward them to Consumer Affairs for ratification.
Action.
The Members of SADARC will be asked to vote on the acceptance or otherwise of the Model Rules attached.
By Laws
The By-Laws of SADARC are a very specific set of Rules that pertain to our Clubs operation
and are not normally included in the Model Rules.
SADARC has two By-laws previously adopted.
1.That any financial purchase of greater than $500.00 needs to be approved by Club Members. This expense is to be notified to all Members in writing prior to the meeting at which it is to be dealt with. If no objections are received by non-attending members it is
assumed that they are in favor of the purchase.
2. That the AGM be held in February for the ensuing year.

To be adopted at the AGM in February 2024
1.That SADARC’s Financial Year runs from the 1 January to the 31st. December and the
Annual Subs are due at the AGM

1.Accept the minutes of the last annual general meeting.
2.Accept the annual report.
3.Accept the annual financial statements.
4.Elect directors.

The Following special resolutions will be proposed at the annual general meeting:
1.That Consumer Affairs of Victoria change our rules in regard to our end of financial year from 30th June to the 31st of December.

2.That the Club adopt the Model Rules and Bylaws attached.

Haven't been recieving the newletters either , which is no real hassle as i just get it from the website

I was under the impression we were going to change the name of the club to incorporate Electronics.
I suggest we try SEARCH

search.org/com/com.au/org.au are all taken , which means we wouldn't have a website

I would vote to keep SADARC as it is known, but add Electronics to the web page heading and on all the paperwork and web info.

That's seems to me the most logical option. Maybe try and incorporate the vintage radio club in there as well, since we are likely to merge at some point.

I did look at "search.???" domains, they are all premium priced domains, which if you think about it makes perfect sense that anything with search in the name is going to be highly sought after.

For the record

Not sure how this term "By Laws" came about, the members vote under the constitution to motions put at a meeting to empower or accept actions approved by resolution using the process as set out in the constitution, so any new rules are part of resolutions and not as by-laws
I rose this point before the AGM and sent such to the committee, looks like it has been ignored.

I did raise this at the AGM but it was dismissed by the chair, the intent of the By-Laws was to include two resolutions obtained under the old instrument, again I did raise the point that a motion was required to allow the inclusion of past resolutions to be included under the new instrument and not just the two as mentioned in the By-Laws document.

I have put such a motion to include past resolution in the new constitution, this then makes the other "By-Laws" irrelevant.
